Terms of service

These terms are an agreement between you and HM Verge Consulting (“we”) for the use of the Recap apps for iPhone, Android and Apple Watch. By creating an account or using the app you agree to them.

1. The service

Recap records audio you choose to record, transcribes it, and uses AI to produce summaries, action items and answers to questions about your notes. Our Privacy policy describes how your data is handled and forms part of these terms.

2. Your account

You must be at least 13 years old to use Recap.
You sign in with a one-time code sent to your email. Keep access to that mailbox secure; anyone who can read it can sign in as you.
You are responsible for everything done under your account.

3. Recording other people

You are solely responsible for obtaining any notice or consent that the law requires before recording a conversation. Laws differ by country, state and province, and some require every participant’s consent. Do not use Recap to record anyone where doing so is unlawful.

4. Your content

You own your recordings, transcripts, notes and everything else you put into the app. You give us the limited permission we need to store, process, transcribe, summarise, search and sync that content in order to provide the service to you, including sending it to the processors named in the Privacy policy. That permission ends when you delete the content or your account.

You agree not to upload content that:

you do not have the right to record or share;
is unlawful, or infringes someone else’s rights;
contains malware or is designed to disrupt the service.

5. AI output

Transcripts, summaries, action items and answers are generated automatically and can be wrong, incomplete or misattributed to the wrong speaker. Check them before you rely on them, especially for decisions, deadlines, numbers or anything with legal, medical or financial consequences. AI output is provided as a convenience, not as advice.

6. Plans and limits

The free plan includes up to 300 minutes of transcription per calendar month. When the limit is reached, new recordings are kept but not processed until the month resets.
Individual recordings are limited in length (currently three hours on the phone and one hour on the watch).
We may change the limits of the free plan and introduce paid plans; we will tell you before that happens.

7. Acceptable use

You agree not to:

use the service to harass, surveil or harm anyone;
attempt to access other users’ data or to bypass usage limits or security measures;
reverse engineer the app or interfere with its operation;
resell the service or use it to build a competing transcription product by extracting our output at scale.

8. Availability and changes

We work to keep Recap available but do not guarantee it will be uninterrupted or error-free. We may change or discontinue features, and we may suspend or end the service. Where we end the service entirely we will give reasonable notice so that you can export your notes.

9. Ending your account

You can delete your account at any time from Settings → Account, or as described on the Delete your account page. We may suspend or terminate accounts that break these terms.

10. Disclaimer and limitation of liability

The service is provided “as is” and “as available”, without warranties of any kind, express or implied, including fitness for a particular purpose and accuracy of AI output. To the fullest extent permitted by law, HM Verge Consulting is not liable for indirect, incidental, special or consequential damages, or for loss of data, profits or business, arising from your use of the service. Our total liability for any claim is limited to the amount you paid us in the twelve months before the claim, or CAD $50 if you paid nothing. Some jurisdictions do not allow these limitations, so they may not fully apply to you.

11. Indemnity

You will defend and indemnify HM Verge Consulting against claims arising from content you record or upload, including claims that a recording was made without required consent.

12. Governing law

These terms are governed by the laws of the Province of Manitoba, Canada, and disputes will be heard by the courts there, unless the consumer law where you live gives you the right to something else.

13. Changes to these terms

We may update these terms. For material changes we will update the date above and notify you in the app or by email before they take effect. Continuing to use the service after that means you accept the new terms.
